Plain-English summary
- Monthly packages run in three month terms, billed monthly. Each term renews for another quarter unless you give 30 days' notice before it ends.
- Automations and websites are fixed quotes. Anything not in the quote is quoted separately before it starts.
- All prices are in Australian dollars, plus GST.
- You own everything from day one. Domain, hosting, accounts, and the work itself once it is paid for.
- I promise nothing breaks on my side of a migration. I do not promise rankings, traffic or AI mentions.
- Your Australian Consumer Law rights sit above every clause here. Questions go through /contact.
Parties
- "I", "me" and "my" mean Edward Glush, trading as a sole trader from Melbourne, Victoria, Australia.
- "You" and "your" mean the person or business that accepts a quote, pays an invoice, or buys a product on this site. If you accept on behalf of a company, you confirm you have authority to bind it.
- These terms, the written scope, and the invoice together form the whole agreement for a piece of work. Where they conflict, the written scope wins, then the invoice, then this page.
When these terms apply
- These terms apply from the moment you accept a quote in writing, pay a deposit or an invoice, or complete a purchase on this site, whichever happens first.
- The first 20-minute call is free and creates no obligation on either side.
- I may update these terms. The version in force is the one published at /terms on the date you accepted a quote or made a purchase. A change never applies to work already agreed.
Scope and quotes
- Packages are priced as published at /pricing. Automations and websites are a fixed price for a written scope. The scope lists what is included and what is not. If something is not listed, it is not included.
- Anything outside the written scope is a change. I quote changes in writing as a change order before starting them. Nothing outside the scope starts until you accept the change order in writing. Email is fine.
- The prices published at /pricing are the prices. A quote is open for 30 days unless it says otherwise.
- Delivery periods on this site are working durations for a scope of the stated size. The clock starts when the deposit clears and I have the access I asked for. It pauses when scope, access or your review does.
Payment
- Monthly packages (Package 1, Package 2, Package 3) and the backlinks add-on run in three month terms and are billed monthly in advance, card on file or by invoice, with the first charge on the start date.
- Each term renews for another quarter unless you give 30 days' notice by email before the term ends. There is no exit fee.
- You can move up a package at any time. The new price applies from the next billing date. You can move down at the end of a quarter.
- AI search tracking runs on the same quarterly terms, billed monthly.
- Automations are paid 50% to start and 50% when the automation goes live. Automation upkeep is billed monthly per automation.
- Websites and migrations are paid 40% to book, 30% at staging sign-off and 30% at go-live. Work does not start until the first instalment clears. If staging sits waiting on your review for more than 14 days, the staging instalment invoices anyway and the launch date moves.
- The Answer Engine Audit is paid in full up front.
- Anything offered as complimentary is included only while a package is active. It is not available on its own and ends when the package ends.
- Invoices are due on the date they state. If a payment is more than 14 days overdue I may pause work until it is paid.
- Card payments are processed by Stripe. I never see or store your card number.
GST and invoices
- Every price on this site is in Australian dollars and excludes GST.
- GST is added once I am registered for it. Until then an invoice shows the published price with no GST line. Once registered, GST is added at the rate in force on the invoice date for Australian clients, and the invoice says so.
- Clients outside Australia are invoiced without GST where the law allows it.
- You get an invoice for every payment, including card payments through Stripe.
Ownership and intellectual property
- Your domain, your hosting, your analytics, your ad accounts, your booking system and your billing relationships are registered and paid for in your name from day one. I never hold them for you.
- Backlink assets I publish for you, such as data, research and listings, are built, hosted and maintained by me while you are a client. If you leave, the links stay live and I can hand everything over so you can keep it maintained elsewhere.
- The code, design, copy, images and data I produce for you under a written scope are yours once the invoice covering them is paid. Until then I grant you a licence to use them, and I retain ownership.
- Tools, libraries, scripts, templates and methods I built before your engagement, or that I build to be reused across clients, remain mine. Where any of them are part of your deliverable, you have a perpetual, royalty-free, non-exclusive licence to use, change and hire others to change them, for the deliverable and anything you build from it.
- Open-source and third-party components stay under their own licences, which I list in the handover documentation.
- Content, images and data you supply remain yours. You confirm you have the right to use them.
Your responsibilities
- You give me the access the scope lists, in your accounts, in your name, within five business days of the deposit clearing. Delays in access move the delivery date by the same amount.
- You review what I send you within the review window the scope sets, which is normally five business days. Clause 4.2 applies to staging.
- You are responsible for the accuracy of the facts you give me: prices, opening hours, addresses, qualifications, claims about your business and your results. I check what I can, and I will tell you when something looks wrong, but I publish what you approve.
- Legal, regulatory and professional sign-off is yours. I am not a lawyer. I do not give legal, financial, medical or compliance advice. Where a scope includes a compliance workstream, you get a scanner run as a deploy gate and a dated, signed-off risk register. That is a documented review process. It is not clearance.
- You keep your own copies of anything you send me and anything I deliver.
The migration promise
On every website build or migration that replaces an existing site, the following words are in the contract exactly as they appear here.
Every URL your old site actually serves will redirect in a single hop to a live page on launch day. That means every URL your server answers, which is usually more than your sitemap lists. Ninety days after launch I re-run your own Search Console against the baseline I took before I touched anything. If a legacy URL 404s, or a page has lost its title, its H1, its canonical or its schema against that snapshot, I fix it free. I won't guarantee your traffic, because nobody controls Google's index. I'll guarantee that nothing broke on my side, and I'll give you the crawl that proves it.
- In plain terms: every address on the old site that worked will still land on a live page, and every page keeps its title, its main heading, its canonical address and its structured data (the schema). The promise covers the addresses the old server answered with a live page when I took the inventory, and those four things on every page as recorded in the pre-launch snapshot.
- It does not cover changes you or a third party make after launch, pages you ask me to remove, or anything the scope excluded in writing.
- The remedy is the free fix. It is not a refund, and it is the only remedy under this clause.
- For a migration where someone else builds the new site, the promise applies only if I am engaged before the new site goes live. After launch the work is remediation, scoped and priced separately, and this clause does not apply.
No guarantee of rankings, traffic or AI citations
- I do not guarantee any ranking, any amount of traffic, any number of enquiries or bookings, any revenue, or that any AI system will cite, name or recommend you. Nobody outside Google, Microsoft, OpenAI, Anthropic or Perplexity controls what their systems return, so nobody can promise it.
- Any figure on this site about my own products or a named client is a description of what happened in one case, dated and sourced. It is not a forecast for yours.
- Where a scope sets a measurement date, I report what the numbers did against the baseline, in writing, including when the answer is that it did not work.
Third-party services
- Hosting, domain registration, email, payment processing, booking systems, analytics, advertising platforms and AI services are supplied by third parties under their own terms. You contract with them directly, in your name.
- I am not responsible for a third party's outage, price change, policy change, decision to suspend an account, or decision to retire a connection that an automation relied on. Where a scope includes a care subscription, what I owe you is the response time in that scope, not a guarantee about the third party.
- Third-party licence, subscription and usage fees are yours to pay and are never included in a fixed price unless the scope says so.
Confidentiality
- Anything you show me about your business that is not public stays with me. I use it only to do the work, and I do not disclose it except where the law requires or where you tell me to in writing.
- Credentials you give me are used only for the scope, and removed at handover or on request.
- This clause survives the end of the engagement.
Publicity
- I do not name you, show your site, or describe your results anywhere without your written consent. Consent can be withdrawn by email at any time, and I remove the reference within ten business days.
- With your consent, I may describe the mechanics of the work, for example how a redirect map was built, without publishing your traffic, bookings or revenue.
- You may say I did the work.
Liability and the Australian Consumer Law
Nothing on this page excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law or any other law that cannot be excluded by agreement. Where the law lets me limit my liability for a failure to meet a consumer guarantee, that liability is limited, at my option, to supplying the services again or paying the cost of having them supplied again.
- Subject to the statement above, my total liability to you for anything arising out of an engagement, whether in contract, tort, under statute or otherwise, is capped at the fees you paid me under that engagement in the twelve months before the event giving rise to the claim.
- Subject to the statement above, neither you nor I am liable to the other for loss of profit, loss of revenue, loss of data, loss of goodwill, or any indirect or consequential loss.
- I carry out every piece of work with due care and skill. If something I did is defective, tell me within 30 days of noticing it and I fix it at no charge. That is in addition to your rights under the Australian Consumer Law, not instead of them.
Termination
- By you, before staging sign-off on a build: you may end the engagement by email. I invoice work performed to date at A$3,200 a day + GST, up to the amount already paid, and refund any balance. Work done is handed over as it stands.
- By you, after staging sign-off: instalments already paid are not refunded, and the go-live instalment is due if you take the work live.
- By you, on a package: 30 days' notice by email before the end of the current quarter. The package ends when that quarter ends. Nothing else is owed.
- By me: I may end an engagement by email if an invoice is more than 30 days overdue, if I am asked to publish something I believe is false, misleading or unlawful, or if I am unable to continue for reasons outside my control. If I end it for any reason other than non-payment, I refund every instalment for work not yet performed, in full, within ten business days.
- On termination, clauses 6, 11, 12 and 13 survive, and you keep everything paid for.
- The refund policy sets out what is refunded for each product.
Governing law
- These terms are governed by the laws of Victoria, Australia. You and I each submit to the courts of Victoria and any court that hears appeals from them.
- If any clause is found unenforceable, the rest stands.
- A delay in enforcing a clause is not a waiver of it.
Contact
- Questions about these terms, change orders, cancellations and notices go through the contact form at /contact. A notice sent by email to the address I reply from counts as written notice.
- Postal address: Suite 1208, 530 Little Collins Street, Melbourne VIC 3000.
- These terms took effect on 12 October 2026.
